Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and AskBaxter.AI ("AskBaxter," "we," "us," or "our") governing your access to and use of our AI-powered communication assistant service.

By creating an account or using our service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the service.

Description of Service

AskBaxter provides an AI-powered voice and SMS assistant for accounting firms. Our service enables your clients to call or text a dedicated phone number to:

• Inquire about their account status and financial information
• Schedule appointments through integrated calendar services
• Leave messages and receive automated responses

The service integrates with third-party platforms including QuickBooks Online, Canopy, Calendly, and Twilio to provide these capabilities.

License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the AskBaxter service for your internal business purposes.

You may not:

• Sublicense, sell, resell, or transfer the service to any third party
• Modify, reverse engineer, or create derivative works of the service
• Use the service to develop a competing product
• Access the service through automated means (bots, scrapers) except as authorized
• Circumvent any security or access controls

Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Ensuring that your use complies with applicable laws and regulations
• Obtaining all necessary consents from your clients before enrolling them in the service
• The accuracy of client information you provide or import

You must notify us immediately of any unauthorized use of your account.

Third-Party Integrations

Authorization

When you connect third-party services (QuickBooks Online, Canopy, Calendly, Twilio), you represent and warrant that:

• You have the authority to grant AskBaxter access to those accounts
• You have obtained all necessary consents from individuals whose data may be accessed
• Your use of the integration complies with the third party's terms of service

QuickBooks Online

By connecting QuickBooks Online, you authorize AskBaxter to access financial data on behalf of clients you have designated as authorized. The AI assistant may query account balances, invoice information, and payment history to respond to client inquiries.

You are responsible for configuring appropriate permissions to control which clients can access which information. You can disconnect QuickBooks at any time through your dashboard or through Intuit's app management settings.

Third-Party Terms

Your use of third-party integrations is also subject to the terms and policies of those services:

• Calendly Terms of Use
• Twilio Terms of Service

Acceptable Use

You agree not to use the service to:

• Violate any applicable law or regulation
• Infringe on the rights of others
• Transmit spam, unsolicited communications, or marketing messages
• Harass, abuse, or harm any person
• Impersonate any person or entity
• Interfere with or disrupt the service or servers
• Attempt to gain unauthorized access to any systems
• Use the service for any illegal or fraudulent purpose

The information provided by our AI assistant is retrieved from your connected accounting systems and is intended for informational purposes only. It does not constitute financial, tax, legal, or professional advice. Your clients should consult with qualified professionals for advice specific to their situation.

Data Accuracy

The accuracy of information provided by AskBaxter depends on the accuracy of data in your connected systems. We do not independently verify financial data retrieved from QuickBooks or other integrations. You are responsible for ensuring your accounting records are accurate and up-to-date.

AI Limitations

Our AI assistant uses artificial intelligence to understand and respond to inquiries. While we strive for accuracy, AI systems may occasionally misunderstand requests or provide incomplete responses. Important financial decisions should be verified through direct consultation with your firm.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the service will be uninterrupted, error-free, or secure, or that any defects will be corrected. We do not warrant the accuracy, completeness, or reliability of any content or information provided through the service.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASKBAXTER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless AskBaxter and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the service
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of any applicable law or regulation

Termination

We may suspend or terminate your access to the service at any time, with or without cause, with or without notice. You may terminate your account at any time by contacting us.

Upon termination:

• Your right to use the service will immediately cease
• We may delete your account and associated data
• Sections of these Terms that by their nature should survive termination shall survive

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms and updating the "Last updated" date. Your continued use of the service after such changes constitutes acceptance of the new Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AskBaxter regarding your use of the service and supersede all prior agreements and understandings.
